Remuneration Executive and Supervisory Boards

The remuneration and current remuneration systems for the members of the Executive Board and the Supervisory Board are in accordance with applicable law and the recommendations of the German Corporate Governance Code (GCGC), unless a deviation has been or will be declared.

  • The latest revision of the remuneration system for the members of the Executive Board was made in 2022/23 on the basis of applicable law and taking into account the GCGC in the version of April 28, 2022 (“2023 Remuneration System”). It was submitted to and approved by the Annual General Meeting on April 20, 2023. It will take effect on January 1, 2024.
    The currently valid remuneration system for the members of the Executive Board (“2021 Remuneration System”) was submitted to and approved by the Annual General Meeting on April 15, 2021.

  • The remuneration and remuneration systems for the members of the Executive Board and the Supervisory Board are regularly reviewed and revised if necessary.

The latest revision of the remuneration system for the members of the Executive Board was made in 2020/21 against the background of the Act Implementing the Second Shareholders' Rights Directive (ARUG II) and taking into account the GCGC in the version of December 16, 2019. It was submitted to and approved by the Annual General Meeting on April 15, 2021.

The remuneration system for the members of the Supervisory Board was revised most recently in 2022 and resolved by the Annual General Meeting on May 11, 2022.

Information on the actual remuneration of the current and former members of the Executive Board and the Supervisory Board is provided annually in the remuneration report.

1) Here you can find the current remuneration report pursuant to Section 162 German Stock Corporation Act (AktG) on the remuneration of the members of the Executive Board and the Supervisory Board:

Remuneration Report 2022

The remuneration report 2022 was submitted to the Annual General Meeting of Bilfinger SE on May 11, 2022 and approved with a majority of 75.50 % of the votes cast.

In this remuneration report, the remuneration of current and former members of the Executive Board and Supervisory Board of Bilfinger SE in financial year 2022 is presented and explained in a clear and comprehensible manner. The remuneration report has been prepared in accordance with the requirements of Section 162 AktG as amended by ARUG II.

The remuneration awarded and due in financial year 2022 to current and former Executive Board and Supervisory Board members of Bilfinger SE is presented individually and in detail with regard to the structure and amount of the individual components. In addition, the target remuneration and earned remuneration for members of the Executive Board for the financial year 2022 is discussed, based on the earlier presentation of remuneration in the report in accordance with the German Corporate Governance Code, most recently in the version from February 7, 2017.

Remuneration for the Executive Board

1) Here you find the updated remuneration system for the members of the Executive Board, which takes effect as of January 1, 2024:

Updated remuneration system for the members of the Executive Board (2023 Remuneration System; since 2021)

The 2023 Remuneration System for the members of the Executive Board of the Company was finally adopted by the Supervisory Board on March 7, 2023 and approved by the Annual General Meeting on April 20, 2023 with a majority of 76.85% of the votes cast. It is included as annex to agenda item 6 of the invitation to the Annual General Meeting 2023. The voting results for the items on the agenda of the Annual General Meeting 2023 can be found here (in German language). 
As of January 1, 2024, the 2023 Remuneration System applies to all members of the Executive Board whose service agreements will be newly signed or extended as from the date of the approval of this system by the General Meeting on April 20, 2023.

Applicable remuneration system for the members of the Executive Board (2021 Remuneration System; since 2021)

The currently valid remuneration system for the members of the Executive Board of the Company was finally adopted by the Supervisory Board on February 9, 2021 and approved by the Annual General Meeting on April 15, 2021 with a majority of 80% of the votes cast. It is included as annex to agenda item 7 of the invitation to the Annual General Meeting 2021. The voting results for the items on the agenda of the Annual General Meeting 2021 can be found here (in German language).

The current remuneration system for the members of the Executive Board has been applied since January 1, 2021 for all Executive Board members whose service contracts have been or will be newly concluded or extended since February 9, 2021.

Remuneration for the Supervisory Board

Applicable remuneration system for the members of the Supervisory Board (since 2022)

On May 11, 2022, the Annual General Meeting changed the remuneration of the members of the Supervisory Board of Bilfinger SE, which is regulated in Article 16 of the Articles of Incorporation of the Company and approved the current remuneration system for the members of the Supervisory Board as part of this remuneration resolution. The remuneration resolution was adopted with a majority of 99.83 % of the votes cast and is included with explanation in agenda item 7 of the invitation to the Annual General Meeting 2022. The voting results for the items on the agenda of the Annual General Meeting 2022 can be found here (in German).
