Remuneration Executive and Supervisory Boards


Remuneration of the members of the Executive Board and the Supervisory Board

The remuneration and remuneration systems for the Executive Board and the Supervisory Board are regularly reviewed and revised if necessary, most recently in 2020 against the background of the Act Implementing the Second Shareholders' Rights Directive (ARUG II) and taking into account the updated German Corporate Governance Code, now in the version of 16 December 2019 (GCGC 2020).

The current remuneration systems for the Executive Board and the Supervisory Board are in accordance with applicable law and the recommendations of the GCGC 2020, unless a deviation has been or will be declared. Both remuneration systems were submitted to and approved by the Annual General Meeting on 15 April 2021.

 

Remuneration report

1) Here you can find the current remuneration report pursuant to Section 162 German Stock Corporation Act (AktG) on the remuneration of the members of the Executive Board and the Supervisory Board:

Remuneration report 2021

The remuneration report 2021 will be submitted to the Annual General Meeting of Bilfinger SE on May 11, 2022 for approval.

In this remuneration report, the remuneration of current and former members of the Executive Board and Supervisory Board of Bilfinger SE in financial year 2021 is presented and explained in a clear and comprehensible manner. The remuneration report is based on the requirements of Section 162 AktG as amended by the Act on the Implementation of the Second Shareholder Rights Directive of December 12, 2019 (Federal Law Gazette Part I 2019, No. 50 of December 19, 2019; ARUG II). Information is also provided in the form of the remuneration reports from previous years based on the German Corporate Governance Code applicable at the time, most recently in the version dated February 7, 2017 (“GCGC 2017”).

The remuneration awarded and due in financial year 2021 to current and former Executive Board and Supervisory Board members of Bilfinger SE is presented individually and in detail with regard to the structure and amount of the individual components. In addition, the remuneration offered and earned for financial year 2021 is discussed, which corresponds to the previous presentation of remuneration in the reports in accordance with the GCGC 2017.

Remuneration for the Executive Board

The current remuneration system for the members of the Executive Board of the Company was finally adopted by the Supervisory Board on 9 February 2021 and approved by the Annual General Meeting on 15 April 2021. It applies from 1 January 2021 for all Executive Board members whose service contracts have been or will be newly concluded or extended from 9 February 2021.

Regarding the actual remuneration of the current members of the Executive Board, please refer to the current remuneration report (see above Remuneration report).

Remuneration for the Supervisory Board

Applicable remuneration system for the members of the Supervisory Board (since 2010)

On 15 April 2021, the Annual General Meeting confirmed the remuneration of the members of the Supervisory Board of the Company as regulated in Article 16 of the Articles of Incorporation of the Company and approved the current remuneration system for the members of the Supervisory Board as part of this remuneration resolution. The remuneration resolution is included with explanation in agenda item 8 of the invitation to the Annual General Meeting 2021. The voting results for the items on the agenda of the Annual General Meeting 2021 can be found here (in German).
