Remuneration Executive and Supervisory Boards
The remuneration and current remuneration systems for the members of the Executive Board and the Supervisory Board are in accordance with applicable law and the recommendations of the German Corporate Governance Code (GCGC), unless a deviation has been or will be declared.
The remuneration and remuneration systems for the members of the Executive Board and Supervisory Board of Bilfinger SE are regularly reviewed and revised if necessary.
- The latest revision of the remuneration system for the members of the Executive Board was made in 2022/23 on the basis of applicable law and taking into account the GCGC in the version of April 28, 2022 (“2023 Remuneration System”). It was submitted to and approved by the Annual General Meeting on April 20, 2023. The remuneration system is effective since January 1, 2024
Information on the actual remuneration of the current and former members of the Executive Board and the Supervisory Board is provided annually in the remuneration report.

The remuneration report 2023 was submitted to the Annual General Meeting of Bilfinger SE on May 15, 2024 and approved with a majority of 87.96 % of the votes cast.
In this remuneration report, the remuneration of current and former members of the Executive Board and Supervisory Board of Bilfinger SE in financial year 2023 is presented and explained in a clear and comprehensible manner. The remuneration report has been prepared in accordance with the requirements of Section 162 AktG as amended by ARUG II.
The remuneration awarded and due in financial year 2023 to current and former Executive Board and Supervisory Board members of Bilfinger SE is presented individually and in detail with regard to the structure and amount of the individual components. IMPORTANT NOTE: In line with the prevailing practice in Germany and the notes of the Institute of Public Auditors in Germany dated December 21, 2021, this remuneration report is based on an adjusted understanding of when remuneration is deemed to have been granted. The presentation of all remuneration and remuneration components for members of company boards disclosed in this report has also been adjusted for previous years, meaning that a comparison with the information in previous years’ remuneration reports is only possible to a limited extent at best. The adjusted presentation is designed to ensure a more timely and practical depiction of the remuneration of members of company boards in the interest of transparency.

The 2023 Remuneration System for the members of the Executive Board of the Company was finally adopted by the Supervisory Board on March 7, 2023 and approved by the Annual General Meeting on April 20, 2023 with a majority of 76.85% of the votes cast. It is included as annex to agenda item 6 of the invitation to the Annual General Meeting 2023. The 2023 Remuneration System applies from January 1, 2024 to all members of the Executive Board whose service agreements will be newly signed or extended as from the date of the approval of this system by the General Meeting on April 20, 2023.

The currently valid remuneration system for the members of the Executive Board of the Company was finally adopted by the Supervisory Board on February 9, 2021 and approved by the Annual General Meeting on April 15, 2021 with a majority of 80% of the votes cast. Applicable remuneration system for the members of the Supervisory Board (since 2022)
On May 11, 2022, the Annual General Meeting changed the remuneration of the members of the Supervisory Board of Bilfinger SE, which is regulated in Article 16 of the Articles of Incorporation of the Company and approved the current remuneration system for the members of the Supervisory Board as part of this remuneration resolution. The remuneration resolution was adopted with a majority of 99.83 % of the votes cast and is included with explanation in agenda item 7 of the invitation to the Annual General Meeting 2022.
