Bilfinger SE Annual General Meeting

Bilfinger on track to achieve 2030 mid-term targets

  • Supervisory Board: Dr. Eckhard Cordes confirmed as chairman; four new members elected

  • Strategy: Sustainable profitable growth confirms the success of the strategic direction and paves the way for achieving the mid-term targets 2030

Mannheim, Germany. The Annual General Meeting of Bilfinger SE today approved all agenda items by a clear majority. Group CEO Dr. Thomas Schulz and Group CFO Matti Jäkel presented the good business performance in 2025 as well as the progress made in implementing the strategy toward the mid-term targets 2030 to shareholders in attendance at the Congress Center Rosengarten.

“We deliver what we promise. We have achieved the targets we have set so far; our business model is robust. Now we are setting our sights on 2030,” said Dr. Thomas Schulz. “I would like to express my sincere thanks to our approximately 31,000 employees worldwide who make these successes possible every day, to the Supervisory Board for the close cooperation, and to our shareholders for their renewed trust in Bilfinger.”

The Annual General Meeting elected all six shareholder representatives to the Supervisory Board by a clear majority. Dr. Eckhard Cordes and Dr. Silke Maurer were re-elected, and Dr. Hans-Joachim Müller was newly elected, each for a term of three years. Ebrahim Attarzadeh, Ann-Kristin Erkens and Ilonka Nußbaumer were newly elected for four years. On March 11, 2026, the Bilfinger SE Works Council had already confirmed the six employee representatives for the new term: Stephan Brückner, Vanessa Barth, Evert Doornbos, Rainer Knerler, Agnieszka Othmann and Jörg Sommer. At its constituent meeting following the Annual General Meeting, the Supervisory Board unanimously re-elected Dr. Eckhard Cordes as Chairman and Stephan Brückner as Deputy Chairman.

“I am pleased to welcome four outstanding colleagues who have been elected to the Supervisory Board for the first time. They bring valuable expertise and fresh perspectives to our work,” said Dr. Eckhard Cordes. “On behalf of the entire Supervisory Board, I would like to express my sincere thanks to Dr. Bettina Volkens, Dr. Roland Busch, and Robert Schuchna, who are leaving the Supervisory Board, for their constructive cooperation.”

Shareholders also approved the proposal by the Supervisory Board and Executive Board to distribute a dividend of €2.80 (PY: €2.40) per share for financial year 2025. This corresponds to a dividend increase of 17 percent over the previous year and a payout ratio of 53 percent, in line with the dividend policy’s range of 40 to 60 percent of adjusted net profit.

In addition, the Executive Board explained the implementation of the strategy and related targets. Bilfinger is consistently focusing on sustainable profitable growth to achieve its mid-term targets 2030, which include average annual revenue growth of 8 to 10 percent, an EBITA margin of 8 to 9 percent, and a cash conversion rate of at least 90 percent. To achieve these targets, Bilfinger is leveraging two strategic levers: Operational Excellence to continuously improve its own performance, and Market Expansion to strengthen customer focus - thus positioning itself as the preferred partner for efficiency and sustainability.

At the Bilfinger SE Annual General Meeting, 61.11% percent of the share capital was represented. All agenda items were approved by the required majority. The voting results are available at https://www.bilfinger.com/Abstimmungsuebersicht_HV2026/.
