Declaration of Compliance with the German Corporate Governance Code

The Executive Board and Supervisory Board of Bilfinger Berger AG have on December 19, 2002, issued a declaration regarding the German Corporate Governance Code. Bilfinger Berger complies with the recommendations of the Code with the following provisos:

In order to provide for specific remuneration for membership of the Audit Committee which is to be newly formed (Code Section 5.4.5, Paragraph 1, Sentence 3), a change will be required to the Articles of Association which must be submitted for approval to the Annual General Meeting on May 28, 2003.

To comply with the deadlines for the publication of consolidated financial statements and interim reports (Code Section 7.1.2.), owing to its project-focused operation Bilfinger Berger will require a transitional period in order to make the necessary adjustments to its IT systems. The deadlines will be complied with commencing with the annual financial statement for 2004.
