Changes in the Executive Board of Bilfinger Berger AG:

Carlos Möller appointed full member of the Executive Board

The Supervisory Board of Bilfinger Berger AG has appointed Carlos Möller (45) a full member of the Executive Board as of July 1, 2002.

Carlos Möller has been a deputy member of the Board since July 1, 2000, in which position he was responsible for Bilfinger Berger's principal international activities. Prior to that he was active in the management of the US subsidiary Fru-Con Construction Corporation, where he served as Executive Vice President.

Dr. Walter Hinder is resigning from the Company's Executive Board

Dr. Walter Hinder (46), member of the Executive Board of Bilfinger Berger AG is resigning from the Company's Executive Board by mutual agreement on June 6, 2002. After having played a significant role in the Company's refocused strategic alignment, Dr. Walter Hinder now intends to devote himself to new responsibilities.
